1. Acceptance of Terms

These Terms form a legally binding agreement between you and Vexoda governing your access to and use of the website vexoda.com, the Vexoda mobile applications, APIs and all related products and services (collectively, the "Service").

By registering an account, accessing or using the Service, you confirm that you have read, understood and agree to these Terms, our Privacy Policy, and any additional rules that apply to specific features. We may amend these Terms at any time; your continued use after changes take effect constitutes acceptance.

2. Definitions

• Account: the registered profile you create to access the Service.
• Digital Assets: cryptocurrencies, tokens and other blockchain-based assets supported on the Platform.
• Ecosystem Wallet: the on-platform wallet used to hold balances and process deposits and withdrawals.
• Content: any information, data, text, signals, posts or materials available through the Service.

3. Eligibility & Account Registration

To use the Service you must:

• Be at least 18 years old and have full legal capacity to enter into a binding contract;
• Not be a resident of, or located in, any jurisdiction where use of the Service is restricted or prohibited;
• Not appear on any sanctions, watch or restricted-persons list;
• Provide accurate, current and complete registration information and keep it up to date.

You are responsible for safeguarding your login credentials, two-factor authentication and all activity under your Account. Notify us immediately of any unauthorized access. You may not maintain more than one Account without our written consent, nor transfer your Account to another person.

4. Identity Verification (KYC) & AML

We operate in accordance with applicable Know Your Customer (KYC) and Anti-Money Laundering (AML) standards. We may require you to verify your identity before accessing certain features, including withdrawals, the prop-firm program, the introducing-broker program or higher transaction limits. You agree to provide valid identification documents and to complete liveness and face-matching checks where requested. We may suspend, limit or close any Account, and report activity to competent authorities, where we suspect fraud, money laundering, sanctions breaches or other illegal activity.

Vexoda offers a multi-product trading and financial technology ecosystem, which may include:

• Spot and cryptocurrency trading;
• Forex, futures and binary-options trading;
• Copy trading, social trading and trading signals;
• Peer-to-peer (P2P) exchange with escrow;
• Proprietary-trading (prop-firm) challenges and funded accounts;
• Automated trading bots and AI-assisted strategies;
• Staking, investment plans and token offerings (ICO/launchpad);
• A merchant payment gateway and an introducing-broker (IB) program;
• An ecosystem wallet, NFT marketplace and related tools.

Availability of any feature may vary by jurisdiction and may be added, modified, suspended or discontinued at our discretion. Some products may be provided through, or in cooperation with, third-party liquidity or technology providers.

6. Risk Disclosure

• Market risk: prices of digital assets, forex and futures are highly volatile and can move sharply against you.
• Leverage: leveraged products magnify both gains and losses and can result in losses exceeding your initial margin.
• Binary options: are high-risk, all-or-nothing instruments and may result in the total loss of the amount staked.
• Blockchain risk: on-chain transactions are generally irreversible; network congestion, forks or protocol failures may affect assets.
• No guaranteed returns: past performance, signals, bot results and copied strategies are not indicative of future results.

You acknowledge that you make your own independent decisions and accept full responsibility for the outcomes of your trades and investments.

7. No Financial Advice

The Service, including any market data, analytics, signals, news, educational material and AI-generated content, is provided for informational purposes only and does not constitute financial, investment, legal or tax advice, nor a recommendation to buy or sell any asset. You should seek independent professional advice before making any financial decision.

8. Deposits, Withdrawals & Wallets

You are solely responsible for the accuracy of deposit and withdrawal details, including wallet addresses and blockchain networks. Transactions sent to an incorrect address or on an incorrect network may be permanently lost and cannot be recovered by us.

• Deposits are credited after the required network confirmations;
• Network and processing fees may apply and are disclosed where applicable;
• We may apply limits, holds or additional verification to deposits and withdrawals for security, compliance or risk-management reasons;
• We are not a bank; balances are not insured deposits and do not earn interest unless explicitly offered through a specific product.

9. Copy Trading & Social Trading

When you follow or copy another trader ("Leader"), trades may be executed automatically in your Account based on the Leader's activity. You retain full responsibility for any resulting losses. Leaders are not your advisors, and we do not guarantee their performance, integrity or continued activity. You may stop copying at any time, subject to open-position settlement.

10. Prop-Firm Challenges & Funded Accounts

Participation in evaluation challenges or funded-account programs is subject to specific program rules, objectives, drawdown limits and fees disclosed at purchase. Challenge and evaluation phases are conducted in a simulated environment. Profit-sharing, payouts and account scaling are governed by the applicable program rules. Breach of a program rule may result in failure of the challenge or termination of the funded account without refund of any fee.

11. Automated & AI Trading Tools

Trading bots, automated strategies and AI-assisted tools are provided "as is". You are responsible for configuring, monitoring and accepting the results of any automated strategy you activate. Automation does not guarantee profit and may cause losses, including during periods of high volatility, latency or connectivity failure.

12. P2P Exchange

Peer-to-peer trades are entered into directly between users. We provide an escrow mechanism and a dispute process but are not a party to the underlying trade. You are responsible for verifying payment details and complying with applicable law. Releasing escrow, confirming payment and submitting evidence in disputes are your responsibility. Fraudulent conduct in P2P trades may lead to account suspension and reporting to authorities.

13. Fees

Trading fees, spreads, financing charges, withdrawal fees, gateway fees, challenge fees and other charges may apply and are displayed within the relevant part of the Service before you confirm a transaction. We may update our fees from time to time. You are responsible for any taxes arising from your use of the Service.

14. Prohibited Activities

You agree not to:

• Use the Service for money laundering, terrorist financing, fraud or any unlawful purpose;
• Engage in market manipulation, wash trading, arbitrage abuse or exploitation of pricing, bonus or latency errors;
• Create multiple or fake accounts, or use another person's identity;
• Use bots, scrapers or automated means to abuse the Service outside features we provide;
• Attempt to gain unauthorized access, disrupt, reverse-engineer or compromise the security of the Service;
• Infringe our or any third party's intellectual-property or other rights.

15. Restricted Jurisdictions

The Service may not be available in all countries. You may not use the Service if you are located in, or a national or resident of, a jurisdiction subject to comprehensive sanctions or where the relevant products are prohibited. It is your responsibility to ensure that your use of the Service is lawful in your jurisdiction.

16. Intellectual Property

The Service and all of its content, features, software, trademarks and design are owned by Vexoda or its licensors and are protected by intellectual-property laws. You may not copy, modify, distribute, sell, lease or create derivative works from any part of the Service without our prior written consent.

17. User Content

Features such as social trading, comments and profiles may allow you to submit content ("User Content"). You retain ownership of your User Content but grant us a non-exclusive, worldwide, royalty-free licence to host, display and use it in connection with the Service. You are responsible for your User Content and must ensure it is lawful and does not infringe third-party rights. We may remove User Content that violates these Terms.

18. Third-Party Services

The Service may integrate third-party services such as social login, blockchain networks, liquidity providers and payment processors. We are not responsible for the content, policies or performance of third parties, and your use of such services may be subject to their own terms.

19. Suspension & Termination

We may suspend, restrict or terminate your access to the Service, with or without notice, if you breach these Terms, if required by law, or to protect the Service, other users or ourselves from harm or risk. Upon termination, your right to use the Service ceases. Provisions that by their nature should survive termination will survive, including those on liability, indemnification and governing law.

These Terms are governed by and construed in accordance with the laws of the jurisdiction in which Vexoda is established and operates, without regard to conflict-of-law principles.

24. Dispute Resolution

In the event of any dispute, you agree to first contact us and attempt to resolve the matter in good faith. If a dispute cannot be resolved amicably, it shall be submitted to the exclusive jurisdiction of the competent courts of the jurisdiction in which Vexoda is established. Where permitted by law, you agree to resolve disputes on an individual basis and waive participation in any class action.

We may update these Terms from time to time. Material changes will be posted on this page with an updated "Last Updated" date and, where appropriate, communicated through the Service. Your continued use after changes become effective constitutes acceptance of the revised Terms.

بتسجيلك حساباً أو وصولك إلى الخدمة أو استخدامها، فإنك تؤكّد أنك قرأت هذه الشروط وسياسة الخصوصية وأي قواعد إضافية تخصّ ميزات معيّنة وفهمتها ووافقت عليها. يجوز لنا تعديل هذه الشروط في أي وقت، ويُعدّ استمرارك في الاستخدام بعد سريان التعديلات قبولاً بها.

٢. التعريفات

• الحساب: الملف الشخصي المُسجَّل الذي تنشئه للوصول إلى الخدمة.
• الأصول الرقمية: العملات المشفّرة والرموز وغيرها من الأصول القائمة على البلوكشين المدعومة على المنصّة.
• محفظة النظام البيئي: المحفظة داخل المنصّة المستخدَمة لحفظ الأرصدة ومعالجة الإيداعات والسحوبات.
• المحتوى: أي معلومات أو بيانات أو نصوص أو إشارات أو منشورات أو مواد متاحة عبر الخدمة.

٣. الأهلية وتسجيل الحساب

لاستخدام الخدمة يجب عليك:

• أن يكون عمرك 18 عاماً على الأقل وتتمتّع بالأهلية القانونية الكاملة لإبرام عقد ملزِم؛
• ألّا تكون مقيماً في أي ولاية قضائية يُقيَّد فيها استخدام الخدمة أو يُحظر، أو موجوداً فيها؛
• ألّا تكون مُدرَجاً على أي قوائم عقوبات أو مراقبة أو أشخاص محظورين؛
• تقديم معلومات تسجيل دقيقة وحديثة وكاملة والحفاظ على تحديثها.

أنت مسؤول عن حماية بيانات الدخول والمصادقة الثنائية وكل النشاط الذي يجري عبر حسابك. أبلِغنا فوراً عند أي وصول غير مصرّح به. لا يجوز لك امتلاك أكثر من حساب واحد دون موافقتنا الكتابية، ولا نقل حسابك إلى شخص آخر.

٤. التحقّق من الهوية (KYC) ومكافحة غسل الأموال

نعمل وفقاً لمعايير «اعرف عميلك» (KYC) ومكافحة غسل الأموال (AML) المعمول بها. قد نطلب منك التحقّق من هويتك قبل الوصول إلى ميزات معيّنة، بما في ذلك السحوبات وبرنامج شركة التمويل (Prop Firm) وبرنامج الوسيط المُعرِّف (IB) أو حدود المعاملات الأعلى. وتوافق على تقديم وثائق هوية صالحة وإتمام فحوصات الحيوية ومطابقة الوجه عند طلبها. يجوز لنا تعليق أي حساب أو تقييده أو إغلاقه، والإبلاغ عن النشاط للسلطات المختصّة، عند الاشتباه باحتيال أو غسل أموال أو خرق للعقوبات أو أي نشاط غير قانوني.

تقدّم Vexoda منظومة متعدّدة المنتجات للتداول والتقنية المالية، قد تشمل:

• التداول الفوري وتداول العملات المشفّرة؛
• تداول الفوركس والعقود الآجلة والخيارات الثنائية؛
• نسخ التداول والتداول الاجتماعي وإشارات التداول؛
• التبادل بين الأقران (P2P) مع نظام ضمان (Escrow)؛
• تحدّيات التداول المموَّل (Prop Firm) والحسابات المموَّلة؛
• روبوتات التداول الآلي والاستراتيجيات المدعومة بالذكاء الاصطناعي؛
• الستيكينغ وخطط الاستثمار وطروحات الرموز (ICO/منصّة الإطلاق)؛
• بوابة دفع للتجّار وبرنامج وسيط مُعرِّف (IB)؛
• محفظة نظام بيئي وسوق NFT وأدوات ذات صلة.

قد يختلف توفّر أي ميزة باختلاف الولاية القضائية، ويجوز إضافتها أو تعديلها أو تعليقها أو إيقافها وفق تقديرنا. وقد تُقدَّم بعض المنتجات عبر مزوّدي سيولة أو تقنية من أطراف ثالثة أو بالتعاون معهم.

٦. الإفصاح عن المخاطر

• مخاطر السوق: أسعار الأصول الرقمية والفوركس والعقود الآجلة شديدة التقلّب وقد تتحرّك بحدّة ضدّك.
• الرافعة المالية: تضخّم المنتجات ذات الرافعة الأرباح والخسائر معاً، وقد تؤدّي إلى خسائر تتجاوز هامشك المبدئي.
• الخيارات الثنائية: أدوات عالية المخاطر بنتيجة «كل شيء أو لا شيء» وقد تؤدّي إلى خسارة كامل المبلغ المراهَن عليه.
• مخاطر البلوكشين: معاملات السلسلة غير قابلة للعكس عموماً، وقد يؤثّر ازدحام الشبكة أو الانقسامات أو أعطال البروتوكول على الأصول.
• لا عوائد مضمونة: الأداء السابق والإشارات ونتائج الروبوتات والاستراتيجيات المنسوخة لا تدلّ على النتائج المستقبلية.

تقرّ بأنك تتّخذ قراراتك بشكل مستقلّ وتتحمّل المسؤولية الكاملة عن نتائج تداولاتك واستثماراتك.

٧. لا تقدّم نصيحة مالية

تُقدَّم الخدمة — بما فيها بيانات السوق والتحليلات والإشارات والأخبار والمواد التعليمية والمحتوى المُولَّد بالذكاء الاصطناعي — لأغراض إعلامية فقط، ولا تشكّل نصيحة مالية أو استثمارية أو قانونية أو ضريبية، ولا توصية بشراء أو بيع أي أصل. ينبغي عليك طلب استشارة مهنية مستقلّة قبل اتّخاذ أي قرار مالي.

٨. الإيداعات والسحوبات والمحافظ

أنت وحدك المسؤول عن دقّة بيانات الإيداع والسحب، بما في ذلك عناوين المحافظ وشبكات البلوكشين. قد تُفقَد المعاملات المُرسَلة إلى عنوان خاطئ أو عبر شبكة خاطئة بشكل دائم ولا يمكننا استرجاعها.

• تُقيَّد الإيداعات بعد تأكيدات الشبكة المطلوبة؛
• قد تنطبق رسوم شبكة ومعالجة ويُفصَح عنها عند الاقتضاء؛
• قد نطبّق حدوداً أو تعليقاً أو تحقّقاً إضافياً على الإيداعات والسحوبات لأسباب أمنية أو امتثالية أو لإدارة المخاطر؛
• لسنا بنكاً؛ الأرصدة ليست ودائع مؤمَّنة ولا تُدِرّ فائدة ما لم يُعرَض ذلك صراحةً عبر منتج محدّد.

٩. نسخ التداول والتداول الاجتماعي

عند متابعتك أو نسخك متداولاً آخر («القائد»)، قد تُنفَّذ الصفقات تلقائياً في حسابك استناداً إلى نشاط القائد. وتظلّ تتحمّل المسؤولية الكاملة عن أي خسائر ناتجة. القادة ليسوا مستشارين لك، ولا نضمن أداءهم أو نزاهتهم أو استمرار نشاطهم. يمكنك إيقاف النسخ في أي وقت، مع مراعاة تسوية الصفقات المفتوحة.

١٠. تحدّيات التمويل والحسابات المموَّلة

تخضع المشاركة في تحدّيات التقييم أو برامج الحسابات المموَّلة لقواعد البرنامج المحدّدة وأهدافه وحدود السحب القصوى والرسوم المُفصَح عنها عند الشراء. وتجري مراحل التحدّي والتقييم في بيئة محاكاة. وتُنظَّم مشاركة الأرباح والدفعات وتوسيع الحساب وفق قواعد البرنامج المعمول بها. وقد يؤدّي خرق أي قاعدة إلى الرسوب في التحدّي أو إنهاء الحساب المموَّل دون ردّ أي رسوم.

١١. أدوات التداول الآلي والذكاء الاصطناعي

تُقدَّم روبوتات التداول والاستراتيجيات الآلية والأدوات المدعومة بالذكاء الاصطناعي «كما هي». وأنت مسؤول عن إعداد أي استراتيجية آلية تُفعّلها ومراقبتها وقبول نتائجها. لا تضمن الأتمتة تحقيق ربح وقد تسبّب خسائر، بما في ذلك خلال فترات التقلّب الشديد أو التأخّر أو انقطاع الاتصال.

١٢. التبادل بين الأقران (P2P)

تُبرَم صفقات الأقران مباشرةً بين المستخدمين. نوفّر آلية ضمان (Escrow) وإجراءً لحلّ النزاعات لكنّنا لسنا طرفاً في الصفقة الأساسية. أنت مسؤول عن التحقّق من بيانات الدفع والامتثال للقوانين المعمول بها. ويقع على عاتقك تحرير الضمان وتأكيد الدفع وتقديم الأدلّة في النزاعات. وقد يؤدّي السلوك الاحتيالي في صفقات الأقران إلى تعليق الحساب والإبلاغ للسلطات.

قد تنطبق رسوم تداول وفروقات أسعار ورسوم تمويل ورسوم سحب ورسوم بوابة ورسوم تحدّيات وغيرها، وتُعرَض ضمن الجزء المعني من الخدمة قبل تأكيدك للمعاملة. يجوز لنا تحديث رسومنا من حين لآخر. وأنت مسؤول عن أي ضرائب تنشأ عن استخدامك للخدمة.

١٤. الأنشطة المحظورة

توافق على عدم القيام بما يلي:

• استخدام الخدمة لغسل الأموال أو تمويل الإرهاب أو الاحتيال أو أي غرض غير قانوني؛
• التلاعب بالسوق أو التداول الصوري أو إساءة استغلال المراجحة أو استغلال أخطاء التسعير أو المكافآت أو زمن الاستجابة؛
• إنشاء حسابات متعدّدة أو وهمية أو استخدام هوية شخص آخر؛
• استخدام روبوتات أو أدوات جمع بيانات أو وسائل آلية لإساءة استخدام الخدمة خارج الميزات التي نوفّرها؛
• محاولة الوصول غير المصرّح به أو تعطيل الخدمة أو الهندسة العكسية أو الإضرار بأمنها؛
• التعدّي على حقوقنا أو حقوق أي طرف ثالث الفكرية أو غيرها.

١٥. الولايات القضائية المحظورة

قد لا تكون الخدمة متاحة في جميع الدول. لا يجوز لك استخدام الخدمة إذا كنت موجوداً في ولاية قضائية خاضعة لعقوبات شاملة أو يُحظر فيها المنتج المعني، أو كنت من مواطنيها أو المقيمين فيها. وتقع على عاتقك مسؤولية التأكّد من أن استخدامك للخدمة قانوني في ولايتك القضائية.

١٦. الملكية الفكرية

الخدمة وكل محتواها وميزاتها وبرمجياتها وعلاماتها التجارية وتصميمها مملوكة لـ Vexoda أو لمرخّصيها ومحميّة بقوانين الملكية الفكرية. لا يجوز لك نسخ أي جزء من الخدمة أو تعديله أو توزيعه أو بيعه أو تأجيره أو اشتقاق أعمال منه دون موافقتنا الكتابية المسبقة.

١٧. المحتوى المُقدَّم من المستخدم

قد تتيح لك ميزات مثل التداول الاجتماعي والتعليقات والملفات الشخصية تقديم محتوى («محتوى المستخدم»). تحتفظ بملكية محتواك لكنك تمنحنا ترخيصاً غير حصري وعالمياً ومعفىً من الإتاوات لاستضافته وعرضه واستخدامه فيما يتّصل بالخدمة. أنت مسؤول عن محتواك ويجب أن يكون قانونياً وألّا يتعدّى على حقوق الغير. ويجوز لنا إزالة أي محتوى يخالف هذه الشروط.

١٨. خدمات الأطراف الثالثة

قد تدمج الخدمة خدمات أطراف ثالثة مثل تسجيل الدخول الاجتماعي وشبكات البلوكشين ومزوّدي السيولة ومعالِجي الدفع. لسنا مسؤولين عن محتوى الأطراف الثالثة أو سياساتها أو أدائها، وقد يخضع استخدامك لتلك الخدمات لشروطها الخاصّة.

١٩. التعليق والإنهاء

يجوز لنا تعليق وصولك إلى الخدمة أو تقييده أو إنهاؤه، بإشعار أو بدونه، إذا خالفت هذه الشروط أو إذا اقتضى القانون ذلك أو لحماية الخدمة أو المستخدمين الآخرين أو أنفسنا من ضرر أو مخاطر. وعند الإنهاء يتوقّف حقّك في استخدام الخدمة. وتظلّ سارية البنود التي ينبغي بطبيعتها أن تبقى بعد الإنهاء، بما فيها بنود المسؤولية والتعويض والقانون الحاكم.

توافق على الدفاع عن Vexoda ومسؤوليها ومديريها وموظّفيها ووكلائها وتعويضهم وإبراء ذمّتهم من أي مطالبات أو التزامات أو أضرار أو خسائر أو نفقات (بما فيها أتعاب قانونية معقولة) تنشأ عن استخدامك للخدمة أو مخالفتك لهذه الشروط أو لأي قانون أو حقّ لطرف ثالث.

تخضع هذه الشروط وتُفسَّر وفقاً لقوانين الولاية القضائية التي تأسّست فيها Vexoda وتزاول نشاطها، دون اعتبار لمبادئ تنازع القوانين.

٢٤. حلّ النزاعات

في حال نشوء أي نزاع، توافق على التواصل معنا أولاً ومحاولة حلّ المسألة بحسن نيّة. وإذا تعذّر الحلّ ودّياً، يُحال النزاع إلى الاختصاص القضائي الحصري للمحاكم المختصّة في الولاية التي تأسّست فيها Vexoda. وبالقدر الذي يسمح به القانون، توافق على حلّ النزاعات على أساس فردي والتنازل عن المشاركة في أي دعوى جماعية.

٢٥. تعديل هذه الشروط

يجوز لنا تحديث هذه الشروط من حين لآخر. وستُنشَر التعديلات الجوهرية على هذه الصفحة مع تحديث تاريخ «آخر تحديث»، ويُبلَّغ عنها عبر الخدمة عند الاقتضاء. ويُعدّ استمرارك في الاستخدام بعد سريان التعديلات قبولاً بالشروط المعدّلة.
